Terms of Service

1. Definitions
“Content” refers to all images generated using artificial intelligence (“AI”) tools and creative direction provided by Splash & Co Creative Pty Ltd T/as The Social Content Factory (“TSCF”) for the Customer.
“Reference Photos” means any images provided by the Customer for use as visual input or inspiration in the AI generation process.
2. Acceptance of Terms
By submitting Reference Photos, making a payment, or claiming the free AI test photo, the Customer agrees to these Terms of Service.
3. Payment Terms
3.1 Free Test Photo: Customers may claim one complimentary AI-generated image. No payment is required for the free test photo.
3.2 Paid Orders: The AI Brand Match Package is charged at AUD $500 + GST for 15 photos, with optional add-ons at $30 + GST per additional photo. Full payment is required before work commences.
3.3 Payment methods accepted: bank transfer, credit card, or PayPal. All fees are in Australian dollars.
4. Delivery Timeline
Final AI-generated images will typically be delivered within 3–5 business days of receiving both payment and Reference Photos. Timelines may vary depending on project complexity.
5. Revisions
5.1 One round of minor revisions is included (e.g., prompt adjustments or minor aesthetic tweaks).
5.2 Major reworks, such as complete re-generations or new creative directions, will incur an additional fee.
6. Intellectual Property & Usage Rights
6.1 All AI-generated images include a 5-year license for use on digital and web platforms (e.g., websites, social media, online ads).
6.2 Print, packaging, or public advertising use requires separate licensing, quoted upon request.
6.3 Copyright & Ownership: All AI-generated Content remains the property of TSCF unless full rights are purchased in writing.
6.4 AI Model & Prompts: TSCF retains ownership of all creative prompts, workflows, and AI model data used to generate the Content.
6.5 TSCF may use generated Content for marketing, portfolio, and promotional purposes.
6.6 Customers may not use the delivered Content for training or developing other AI systems or models.
7. Customer Materials
7.1 Customers are responsible for ensuring they have all rights and permissions to use the Reference Photos provided to TSCF.
7.2 TSCF accepts no liability for copyright infringement or third-party IP claims arising from Reference Photos supplied by the Customer.
8. Authenticity Disclaimer
AI-generated imagery is designed to look realistic but is not produced through physical photography. TSCF will make every effort to achieve visual accuracy; however, variations in lighting, product shape, or colour may occur.
9. Limitation of Liability
TSCF will not be held liable for any loss of revenue, sales, or profit resulting from the Customer’s use of AI-generated content.
All deliverables are provided “as is” for creative and marketing use only.
10. Cancellation Policy
10.1 The free test image may be cancelled at any time before processing begins.
10.2 Paid orders may be cancelled prior to AI generation; however, a 50% cancellation fee applies once processing has commenced.
10.3 Refunds are not available after delivery.
11. Force Majeure
TSCF’s obligations are suspended during any event beyond its reasonable control, including natural disaster, technology failure, or third-party platform outages.
12. Legal Costs
Customers are liable for any reasonable costs (including legal fees) incurred by TSCF in recovering unpaid invoices.

14. Amendments
TSCF reserves the right to update these Terms with seven (7) days’ written notice. Updated Terms will be published on the TSCF website and apply to all new and ongoing projects thereafter.
