TSCF - SUBSCRIPTION TERMS & CONDITIONS

1. Definitions

"Content" refers to all photographs, images, graphics, animations, and any other content created for social media by Splash & Co Creative Pty Ltd T/as The Social Content Factory ("TSCF") for the Customer.

2. Acceptance of Terms

By subscribing to a content subscription, the Customer agrees to be bound by these Terms and Conditions.

3. Payment Terms

3.1 Payment is due one month in advance of the commencement of the posting schedule.
3.2 Monthly subscribers will pay for one month of content at a time. All prices are in Australian Dollars unless otherwise specified.

4. Photography Revisions

4.1 TSCF offers one round of photo editing revisions.
4.2 TSCF does not offer revisions to the photoshoots themselves. It is the Customer’s responsibility to provide sufficient brief details, mood boards, or example content.
4.3 If sufficient direction is provided but content still fails to meet expectations, TSCF may offer a reshoot or waive the balance invoice.

5. Graphics, Captions & Scheduling Revisions

5.1 One round of revisions is included.
5.2 Revisions must be requested before the start of the posting month.
5.3 Any additional revision requests will be billed at $110/hour.

6. Content Approval

6.1 The Customer must approve content before the posting month begins.
6.2 Lack of feedback will be taken as approval. Post-start change requests will be billed at $110/hour.

7. Props

Basic props are included. Specific or custom prop and ingredient requests will incur additional fees.

8. Talent & Scenes

8.1 The subscription includes the number of talent and scenes specified.
8.2 Additional talent will be charged at $110/hour. Additional scenes will be charged at $300 per setup.

9. Usage Rights

9.1 All content includes a 3-year license for web use.
9.2 TSCF retains full copyright unless otherwise agreed.
9.3 Additional licensing fees apply for use in print, packaging, billboards, or other public spaces.

9.4 TSCF may use any content created for promotional purposes without prior approval or compensation.

10. Customer’s Materials

10.1 Materials stored by TSCF are held at the Customer’s risk.
10.2 TSCF has no obligation to insure any Customer property.
10.3 TSCF is not liable for any losses after delivery or return of materials.

11. Disposal

TSCF retains content for up to 12 months. After this period, content and raw files may be deleted or destroyed.

12. Product Holdings

TSCF will store products for the duration of the subscription. TSCF reserves the right to dispose of products once the subscription ends.

13. Customer Acknowledgements

13.1 TSCF has a lien over Customer-provided materials until all payments are complete.
13.2 Title in finished work is not transferred until all fees are paid in full.
13.3 The Customer acknowledges that opinions expressed in the content reflect their own, not those of TSCF.
13.4 Working files remain the property of TSCF and are not included in delivery.
13.5 Use of Meme Content
TSCF provides meme-based content solely as a creative service assembling and formatting content on behalf of the Customer. TSCF does not claim ownership or clearance over third-party intellectual property (IP) potentially embedded in meme content and is not responsible for licensing or legal implications arising from the use of such IP. The Customer assumes all liability associated with publishing or distributing content that includes external IP.
13.6 Use of Instagram Music and Audio
Any music added to videos is for illustrative purposes only. Music is intended as a placeholder or style reference. TSCF does not claim licensing rights over any third-party music tracks and is not liable for the Customer’s use or misuse of music, including copyright violations. The Customer is responsible for ensuring they have the necessary rights to use any audio included in their published content.

14. Cancellation

14.1 Subscriptions are non-cancellable within the first three (3) months.
14.2 After this period, one (1) month’s written notice must be provided during business hours.
14.3 Cancellation is effective at the end of a two-month period following proper notice.

15. Right of Refusal or Termination

TSCF reserves the right to terminate the service at any time.
Pro rata refunds will be provided for incomplete work. TSCF may seek compensation for damages.

16. Force Majeure

TSCF's obligations will be suspended for any event beyond its control including natural disaster, epidemic, terrorism, or third-party failure.

17. Legal Costs

The Customer is liable for all legal costs incurred by TSCF for debt recovery.

18. Contactable Hours

TSCF will be available via email Monday to Friday, 9am–5pm AEST.

19. Amendment

TSCF reserves the right to amend these Terms and Conditions with 7 days’ written notice.
